Liquid Bricks Realtors & Investment Limited is a Nigerian real estate Company incorporated under the Companies and Allied Matters Act, Laws of the Federation of Nigeria, 2004. Our registered office is on the 9th Floor, EleganzaHouse, Joseph Hayden Street, Lagos Island, Lagos State, Nigeria.

The lbrix.com website presents the online services rendered by the Liquid Bricks Realtors & Investment Limited. The website provides a platform through which real property can belisted and/or offered for sale, purchase, rent, let, lease, lease-out, financing and investment,as set forth herein and any other services offered by the Liquid Bricks Realtors & Investment Limited. Interested parties can list or market their real properties, make offer for and/or make enquiries about properties of their interest, directly on the website or off-line by contacting our office as above.

Your use of this website (hereinafter referred to as “the lbrix.com”), our other services and tools is subject to these Terms and Conditions, which include our Privacy Policy (“Terms”). These Terms constitute a binding contract between Liquid Bricks Realtors & Investment Limited (“Liquid Bricks”, “lbrix” “we” or “us”) and you (“you”). “You” shall mean any legal or natural person who has agreed to transact on the website as a Registered User. BY USING OURWEBSITE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ACCESS OR USE THE WEBSITE.

In making the website available for transactions in real property, Liquid Bricks Realtors & Investment Limited does not imply or establish any client, advisory, financial or professional relationship with anyone.

Registration

In order to take advantage of the lbrix.com platform as a prospective seller, purchaser, tenant, landlord, lessee, lessor, investor or financier of real propertyand the other services the Liquid Bricks Realtors & Investment Limited provides, you must complete the website registration process to create an account with a user name and a password (the “Account”) on lbrix.com website.

You must provide accurate, current and complete information, which must be updated in a timely manner, about yourself and agree to our verification process. By registering on our website, you give us the express permission to verify the information you have given to us. Once your registration is completed, we will open an Account for you free of charge, which will give you access to our website and other services.

Any personal data that you provide in creating an Account or those we otherwise collected about you when you use our website will be governed by our privacy policy.

You should keep all your Account information, particularly your user name and password secret, as any use of the Account and any of our other services on the website will be deemed as used by you.

By opening an Account with us you:

  1. Consent to receive personalised emails, telephone calls and/or text/whatsapp messages from us.

  1. Where you are registering an organization, you are authorized to act on behalf of that organization to list or to make offer and/or express interest in a property.

  1. You agree that you have not signed any service/listing Contract or Agreement with any Real Estate firm or any other third party that would prevent you from using our platform or that would interfere with our representation of you. You agree to notify us immediately in the event that you enter into any such service/listing Contract or Agreement.

  1. Outreach to other users without going through the Liquid Bricks Realtors & Investment Limited is prohibited. You agree not to contact a seller, buyer, landlord, tenant, lessor, lessee, financier or investor as the case may be, of any property from information gathered through the website. You will not attempt to enter the property or speak with a seller, buyer, landlord, tenant, lessor, lessee, financier or investor without an appointment set by the Liquid Bricks Realtors & Investment Limited.

  1. As part of our professional obligations, it is important that we know who is doing a listing or making an offer for a property. When a listing is done or an offer is made, an associate of the Liquid Bricks Realtors & Investment Limited will contact you to confirm your transaction and to seek further information and clarifications as the case may be. We will advise whoever is concerned of your position should an offer or listing be made together with the details provided by you on the website at the time you did the listingor submitted your offer. You may also get electronic notification via your mobile app, email or mobile telephone number.

 

  1. You hereby authorize Liquid Bricks Realtors & Investment Limited to review your listingor offer in line with our modus operandi.

You may delete your Account at any time by notifying us at info@lbrix.comPlease note that it may take approximately 7 business days for us to delete your Account.

Listing Properties on our Website (This section applies only to Property Owners and/or Property Owner Attorneys)

If you are a property owner or an attorney to a property owner and would like to list Properties on our website, you can do so through our liquidsell app on the website, where you will be asked to provide all relevant details in relation to the property, including photographs of the property (“content”).

You are responsible for the content you provided to us for the purpose of listing or promoting the Property on our website. However, we have the obligation, at a fee to you, to confirm the content you have provided to us through our Liquid Inspection Services.  

By providing such content to us and proposing a listing of the Property on our website:

  1. You warrant that you have the authority to provide the property and the Content for listing on our website, act on behalf of the owner, landlord or lessor of the property in advertising and promoting the property and to deal with enquiries in respect of the Property;

  1. The property and the information provided by you about the property complies with all applicable laws and regulations and the sale, let or lease of the property to any client would not breach any agreement;

  1. All applicable charges and fees which are relevant to the sale, let or lease of the Property shall be fully disclosed to Liquid Bricks Realtors & Investment Limited so that they can be clearly described and incorporated in the listing of the Property;

  1. You shall promptly respond to all enquiries that we may raise about the property you have listed or intend to list and you shall treat such queries with the required professional care and skill as required.

  1. You may request us to amend or delete the listing of your property at any time and you must promptly provide us with any updates or new information about your property.

  1. You acknowledge that Liquid Bricks Realtors & Investment Limited will review the Content you provided about your Property and may amend it provided that Liquid Bricks Realtors & Investment Limited shall not materially change the substance of the Content.

  1. Liquid Bricks Realtors & Investment Limited reserves the right to amend, suspend or remove the listing of any Property where Liquid Bricks Realtors & Investment Limited, in its sole discretion, considers and finds that you have breached the law or these Terms and Conditions or where there is any dispute over the Property.

Commission

  1. You acknowledge and agree that Liquid Bricks Realtors & Investment Limited will charge a commission for its services. Sellers, Landlords, Lessors, on the website hereby agree and authorize Liquid Bricks Realtors & Investment Limited to add its own commission of up to 10% and above to the selling price, rent or lease sum uploaded on the website by users.
  2. Where a property is sold, rented or leased at the actual price uploaded by a Seller, Landlord, Lessor or below the actual price (with the consent of the Seller, Landlord or Lessor),Liquid Bricks Realtors & Investment Limited shall be entitled to a commission of 2% from the amount paid for such property. However, where the Seller, Lessor or Landlord has a policy that provides for a fixed percentage or amount as commission/remuneration payable to brokers, agents and attorneys, and where the percentage/amount is higher than the 2% normally charged by us, such percentage/amount shall apply to us and it shall take precedence over the 2% normally charged by us.
  3. Where Liquid Bricks Realtors & Investment Limited is able to Sell, Let or Lease a property for an amount higher than the price uploaded by Seller, Landlord or Lessor, it shall take the premium and deduct same at source and shall not be entitled to any further commission from the purchase, rent or lease sum payable to a Seller, Landlord or Lessor.  
  4. Sellers, Landlords and Lessors hereby agree and authorize Liquid Bricks Realtors & Investment Limited to deduct at source the commission due to it from the money paid for the purchase, rent and lease of a property and remit the balance to the Seller, Landlord or Lessor.
  5. Where a Seller, Lessor or Landlord is acting through an Attorney, he shall pay 5% commission to us. Such Attorney will be entitled to 60% of the commission while we shall be entitled to 40% of the commission.

  1. Where an Attorney is acting on behalf of a Seller, Landlord or Lessor, such Attorney will be entitled to 40 % of the premium due to us in the event that we sell at a price higher than the price uploaded. In other words, Attorneys will get 40% of the excess over the actual price. There after, the Attorney shall no longer be entitled to any further commission from the Seller, Lessor or Landlord as the case may be. On the other hand, where we sell, let or lease out a property at the same price uploaded or below theprice uploaded, an Attorney will be entitled to 60% of the commission paid to us.
  2. Where a Seller/Landlord/Lessor uploads a property directly, he will be deemed not to have an agent. In such cases, we reserve the right to sell/let/lease at a premium as mentioned in paragraph (a) under this provision and take the excess for ourselves at source. Where we sold at the price uploaded or below the price uploaded by a Seller/Landlord/Lessor (with the consent of the Seller/Landlord/Lessor), we shall charge 2% commission or the standard commission payable by such Seller, Lessor or Landlord, whichever is higher, and same will be deducted at source.
  3. Partners, employees and spouses to a userdo not qualify as Attorneys to such users.
  4. Users such as Buyers, Tenants and Lessees who bid or make an offer for a property directly will be deemed not to have an Attorney. Such users shall pay 2% commission or an amount to be agreed upon between such client and us.
  5. Where a Buyer, Tenant or Lessee is acting through an Attorney, he shall pay 5% commission to us. Such Attorney will be entitled to 60% of the commission while we shall be entitled to 40% of the commission.
  6. On Liquid Project and Invest, Liquid Bricks shall state the commission to be charged on each transaction.
  7. Where an Attorney is involved in any transaction on Liquid Project and Liquid Invest, Liquid Bricks will agree with such Attorney on the commission due to such Attorney from the commission payable by clients

Making Offer for Properties Listed on our Website (This section applies only to Clients and/or Clients’ Attorneys)

Where you use our website to make an offer,to show interest or enquiry about a property, you give us your consent to use the details you have so provided to discuss the property or other similar properties with the property owner and/or property owner’s attorney.

Posting Content On The website

Any Content available through the website, including applications, software, text, audio, video, photograph, graphic, music, sound clip, image, likenesses, personal information and other works of authorship (collectively, “Content”) is protected by the intellectual property rights of theLiquid Bricks Realtors & Investment Limited or its licensors. All rights, titles and interests in and to the website and any Content will remain the exclusive property of the Liquid Bricks Realtors & Investment Limited and its licensors.

You may list on the website or otherwise submit to us your Content, including without limitation comments regarding any property listings, feedback regarding our other services or any other ideas suggestion, document or proposal.

By submitting your Content, you warrant, represent and agree that:

(i).        you own your Content or have sufficient rights in your Content to grant to the Liquid Bricks Realtors & Investment Limited the rights described in these Terms;

(ii).        your Content does not and will not infringe the intellectual property rights, privacy, rights to publicity or any other legal or moral rights of any third party;

(iii).        your Content is true and accurate to the best of your knowledge;

(iv).        your Content does not include confidential or proprietary information;

If we so choose, we may use and disclose your Content in any way; and we have no obligation to pay or reimburse you for your Content or our use of your Content.

You must not post or list on the website any Content that, as reasonably determined by Liquid Bricks Realtors & Investment Limited, is or appears to be the following:

(a)        untrue, misleading, fraudulent, invasive to another person’s privacy or protected data, morally or otherwise objectionable;

(b)        infringing upon or misappropriating a third party’s intellectual property rights, including any patent, trademark, copyright, right of publicity, including any Content that is the subject of any claim of infringement or misappropriation;

(c)         of a type that you do not have a right to transmit under any law or contractual or fiduciary relationships, such as proprietary and confidential information;

(d)        Information obtained through access that was not authorized by the owner, or that you are not authorized to post; or

(e)        In violation of any applicable local, state, national or international law (including export control, consumer protection, unfair competition, anti-discrimination, fair housing and false advertising laws).

All Terms and Conditions concerning the usage of our website and any other matter arising from the use of our services will be governed by the applicable laws of the Federal Republic of Nigeria and any dispute concerning the Terms and Condition and/or use of our website shall be determined by the Lagos Multi Door CourtHouse. The decision of the Lagos Multi Door CourtHouse and no appeal shall lie from such decision.
